Compliance

To ensure compliance with the policies that the Company has in place, an Employee Orientation and Code of Conduct Manual and a Safety, Health, Environmental and Community Relations Policy Manual are disseminated to all its employees. Additionally, during our Company orientation at the beginning of the field season, each employee, including hires for the summer season, are reacquainted with the Company policies and receive training to carry out their work in a safe manner.

The Employee Orientation and Code of Conduct Manual has a formal "Whistleblower Policy" concerning the reporting of any known or suggested violations of the law, governmental regulations, the Company's Code of Business Conduct or the Company's manuals. The policy also contains procedures that allow directors, officers and employees to confidentially and anonymously submit their concerns, without fear of retaliation, to an independent third party regarding questions of accounting, internal controls or auditing matters.

Procedures for Reporting Violations of the Code of Business Conduct and Ethics

Confidential, Anonymous Employee Submissions

Wallbridge has established a formal Code of Business Conduct and Ethics to confirm its continuing commitment to integrity and ethical behavior. The Policy confirms procedures that allow employees of Wallbridge to confidentially submit concerns regarding questionable ethics or moral issues or breaches of the Company's Employee Manual or the Company's Safety Health Environment and Community Manual to the Ethics Officer or, in their absence, to the Chair of the Audit Committee. If an employee feels uncomfortable reporting suspected violations to either the Ethics Officer or the Chair of the Audit Committee, the employee may report such matters to our Outside Counsel. Additionally, directors, officers, and employees may submit their concerns relating to questionable accounting, internal controls or auditing matters confidentially to Crawford & Company (Canada) Inc., an independent third party.

Any member of the public who becomes aware of a violation of the Code of Business Conduct and Ethics, can contact Wallbridge's Ethics Officer or, in their absence, the Chair of the Audit Committee. Alternatively, such matters can be reported to our Outside Counsel.

All reported violations will be investigated and an appropriate response, including corrective action and preventative measures, will be made by the Board of Directors in consultation with the person to whom the report was made. All reports will be treated confidentially to every extent possible.

No retaliation or other action will be taken against any Wallbridge employee who acts in good faith in reporting any violation.

Each quarter, a report is submitted to the Audit Committee outlining the complaints received.
